Acceptance of Terms

By accessing or using the VeelIQ website or platform (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access the Service. By creating an account or using any part of the Service, you represent that you are at least 16 years of age and have the legal capacity to enter into a binding agreement.

Description of Service

VeelIQ is an AI solutions platform that delivers tools via the Model Context Protocol (MCP). Users connect a compatible AI client (such as Claude.ai, Cursor, or ChatGPT) to a VeelIQ MCP endpoint, which exposes their subscribed capabilities as native tools. Connecting to https://context.veeliq.com/mcp signs you in with your VeelIQ account, and no credential is stored in the client. For clients that only accept a plain URL, VeelIQ also issues a personal URL containing an access token (for example, https://context.veeliq.com/<your-token>/mcp), which is subject to the credential obligations in Section 3.

The Service currently comprises two solutions:

• Context: a private knowledge and memory layer for your AI. You upload documents and your agent stores memories; your AI searches and recalls them through your personal MCP endpoint. Context is currently offered in Beta with a free plan.
• Plugin Marketplace: a subscription catalog of AI plugins that add new abilities to your AI client. This solution is coming soon; any descriptions on this website are indicative of the planned offering and do not constitute a commitment to specific features or launch dates.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice where possible.

Accounts & Registration

To access the Service you must create an account by providing a valid email address. You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activity that occurs under your account.
• Notifying us immediately at support@veeliq.com if you suspect unauthorised access.

You may not share your MCP server URL or account credentials with third parties. Each subscription is for a single user only.

Subscriptions & Billing

VeelIQ offers free and paid subscription plans. Context currently includes a free Beta plan subject to fair usage limits, which are listed in your account dashboard and may be adjusted during the Beta. By subscribing to a paid plan, you authorise us to charge the payment method on file at the start of each billing period.

• Billing cycle: subscriptions renew automatically on a monthly or annual basis depending on the plan selected.
• Cancellation: you may cancel at any time from your account dashboard. Access continues until the end of the current billing period; no prorated refunds are issued.
• Price changes: we will give at least 30 days' notice before any price change takes effect. Continued use after the effective date constitutes acceptance.
• Failed payments: if a payment fails, we will attempt to notify you and retry. Access may be suspended until the outstanding balance is settled.

Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Infringe the intellectual property rights of any third party.
• Transmit any harmful, offensive, or unlawful content through the Service.
• Reverse-engineer, decompile, or attempt to extract the source code of any VeelIQ plugin or component.
• Resell, sublicense, or redistribute access to VeelIQ plugins without our written consent.
• Use the Service in a way that could damage, disable, or impair our infrastructure.
• Circumvent any rate limits, usage caps, or access controls.

We reserve the right to suspend or terminate accounts found in violation of these provisions without refund.

Intellectual Property

All content, software, plugins, and materials made available through the Service, including plugin logic, prompts, system instructions, and branding, are the exclusive property of VeelIQ or its licensors and are protected by applicable intellectual property law.

We grant you a limited, non-exclusive, non-transferable licence to use the Service solely for your personal or internal business purposes during the term of your active subscription.

You retain ownership of any data or content you provide to the Service, including documents you upload to Context, memories your agent saves, and any input you provide to plugins. You grant VeelIQ a limited licence to store and process that content solely to deliver the Service to you. We never train AI models on your content.

Third-Party Services & MCP Clients

VeelIQ integrates with third-party AI clients via the Model Context Protocol. Your use of those clients (such as Claude.ai or Cursor) is governed by their respective terms of service, which are independent of these Terms.

VeelIQ is not responsible for the behaviour, availability, or accuracy of any third-party AI model or client. Results generated by AI models using VeelIQ plugins are produced by those models and do not represent VeelIQ's views or guarantees.

Some plugins may interact with external APIs or data sources on your behalf. You are responsible for ensuring you have the rights and permissions necessary to use those integrations.

AI & Language Models

VeelIQ uses Large Language Models (LLMs) and other machine learning models, including models provided by third parties, to process your content and deliver the Service. In Context, this covers three jobs:

• Search and recall: the text of your documents, memories, instructions, tasks, notes and search queries is converted into embeddings and ranked by relevance. Notes you mark as private are not sent for embedding.
• Transcription: the audio of audio and video files you upload is converted into text by a speech recognition model.
• Memory upkeep: the memories your agent saves are classified by a language model to flag duplicates, contradictions and facts that may go out of date. Detected secrets, such as passwords and API keys, are removed before this step.

Content you submit is processed by these providers solely to deliver the Service to you. The providers we use, and the data each one receives, are listed in Section 5 of our Privacy Policy. We do not use your content to train or fine-tune AI models.

Transcripts of your audio and video, and automatic suggestions about your memories (for example, that two facts are duplicates or that one replaces another), are generated by AI. Answers you receive in your AI client are generated by that client's own model, as described in Section 7.

User Content & Copyright

You are solely responsible for the files and content you upload to the Service, including documents, audio, video, notes and the memories your agent saves at your request. By uploading content, you confirm that you own it or hold all the rights, licences and permissions needed to use it with the Service.

Your content is private to your account, and VeelIQ does not review uploads for copyright compliance. To the maximum extent permitted by applicable law, VeelIQ accepts no liability for any infringement arising from content uploaded by users. Your obligation to indemnify VeelIQ for claims resulting from content you upload is set out in Section 11.

Notice and takedown. If you believe content stored in the Service infringes your copyright or is otherwise unlawful, send a notice to legal@veeliq.com with the subject "Content notice". Please include:

• Your name and contact details.
• A description of the work or right you believe is infringed.
• Enough information for us to locate the content, such as the account or MCP endpoint involved and the name of the file.
• An explanation of why you believe the content is infringing or unlawful.
• A statement that the information in your notice is accurate and complete to the best of your knowledge.

We review every valid notice promptly. We may remove or disable access to the content and suspend accounts involved in repeated infringement. When we act on a notice, we inform the affected user, explain the reason, and give them the opportunity to contest the decision by replying to the same address.

Disclaimers & Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

VeelIQ does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. AI-generated outputs may be inaccurate, incomplete, or inappropriate. Always review outputs before acting on them.

Beta services. Solutions designated as Beta (currently Context) are provided for evaluation purposes. Features, limits, and availability may change or be discontinued during the Beta period, and Beta services may experience interruptions or data-affecting issues. We recommend keeping copies of any documents you upload.

VeelIQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless VeelIQ and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of:

• Your use of the Service in violation of these Terms.
• Your violation of any applicable law or third-party rights.
• Any content or data you provide through the Service.

Termination

You may stop using the Service and cancel your subscription at any time via your account dashboard.

We may suspend or terminate your account immediately if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or if continued access poses a risk to other users or the integrity of the Service.

Upon termination, your right to access the Service ceases immediately. Sections covering intellectual property, user content and copyright, disclaimers, liability, indemnification, and governing law survive termination.

Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which VeelIQ is incorporated, without regard to its conflict-of-law provisions.

Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction, unless otherwise required by applicable consumer protection law in your country of residence.

Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will notify active subscribers by email at least 14 days before the changes take effect.

Continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
